THIS IS A LEGALLY BINDING RELEASE, WAIVER OF LIABILITY, AND ASSUMPTION OF RISK AGREEMENT (the “Agreement”). Please read it carefully before signing/accepting/acknowledging.

If you are securing or procuring travel for more than just yourself, all references below to “I” (and derivations thereof, including without limitation “my” and “me”) shall be read to mean you on behalf of yourself and each individual within your group for whom you are securing or procuring travel.

TERMS AND CONDITIONS

1. Role of Off Market Events:

I understand that Off Market Events, LLC (hereinafter “OME”) is not the source or supplier of the travel services or the Ninja Now Course content provided on the cruise. OME acts solely as an agent for the actual suppliers of these services. The suppliers responsible for providing these services are identified in the information supplied to me. I consent to and request the use of those suppliers and agree not to hold OME responsible should any of these suppliers:

   1) Fail to provide the travel services I have purchased.

   2) Fail to comply with any applicable law.

   3) Engage in any negligent act or omission that causes me any injury, damage, delay, or inconvenience.

2. Administrative Fee and Refund Policy:

Administrative Fee: OME charges a non-refundable administrative fee. Refunds of this fee are only available under specific circumstances as outlined below:

   - If the cruise is canceled between 9 and 12 months from the sailing date: 75% of the administrative fee will be refunded.

   - If the cruise is canceled between 6 and 9 months from the sailing date: 50% of the administrative fee will be refunded.

   - If the cruise is canceled between 0 and 6 months from the sailing date: No refund of the administrative fee will be issued.

   - Cruise Line Cancellation: If the cruise line cancels the sailing entirely, OME will refund the full administrative fee.

3. Travel and Accommodation:

  - I understand that OME is not responsible for nor will I attempt to hold it liable for, any injury, damage, or loss I may suffer on account of any conditions, actions, or omissions that are beyond its reasonable control. This includes any injury, damage, or loss suffered during any third-party provided or operated excursion, activity, or transportation service.

  - Travel insurance is strongly encouraged to protect my investment in this trip. OME provides options for pre-cruise hotels, excursions, and shuttle services, but these services are operated by third parties, and OME assumes no liability for them. Participants are not required to use the services arranged by OME.

4.  Course Content

  - I accept that Ninja Selling administers all course content and that OME’s role is limited to providing logistical support such as conference room space, audio/visual equipment, and information about cruise packages and excursions. OME is not responsible for the operation of the cruise line, transportation services, hotel accommodations, or excursions

5. Conduct and Liability:

  - I understand that I must follow all cruise line rules and policies during the trip. OME is not liable for any consequences resulting from violations of these rules and policies. I accept that OME’s liability is limited to providing logistical support for the conference space and does not extend to any services provided by third parties.

6. Identification and Travel Documentation:

  - I understand that the Transportation Security Administration (TSA) requires me to carry a government-issued identification card to board a flight. The name, date of birth, and gender on this identification must exactly match the details on my airline ticket and booking records. I acknowledge that my failure to comply with these requirements may result in denied boarding or delays at airport security checkpoints.

  - If traveling internationally, I understand that I must have a valid passport and may need to obtain one or more visas depending on my destination and nationality. It is my responsibility to verify and obtain the necessary travel documents.

7. Health, Safety, and Travel Risks:

  - OME has no special knowledge regarding the financial condition of travel service providers, unsafe conditions, health hazards, weather hazards, or climate extremes at locations to which I may travel. For information concerning possible dangers at destinations, I am advised to contact the Travel Warnings Section of the U.S. State Department at 1-888-407-4747 or www.travel.state.gov. For medical information, I am advised to contact the Centers for Disease Control at 1-800-232-4636 or www.cdc.gov/travel.

  - I assume full and complete responsibility for checking and verifying any and all passport, visa, vaccination, or other entry requirements of my destination(s), and all conditions regarding health, safety, security, political stability, and labor or civil unrest at such destination(s).

8. Privacy and Data Protection:

  - OME collects minimal personal information necessary for the organization of the Ninja Now Cruise, including names, email addresses, phone numbers, t-shirt sizes, realtor license numbers, and cabin numbers. OME does not have access to credit card information and does not share personal information with third parties, except as required to facilitate the cruise and event logistics.

9. Price Changes and Additional Fees:

  - I understand that any price quoted by OME or its partners is subject to change and availability up until the time my deposit is applied to the supplier of services. Additional fees not prepaid (such as air fuel surcharges, gratuities, resort fees, etc.) may apply at the time services are rendered.

10. Cancellation and Change Penalties:

  - I understand that all reservation fares typically involve restrictions, including but not limited to, cancellation penalties. Changing any aspect of my travel arrangements may result in the payment of additional money. I understand that OME’s event fees are non-refundable if canceled by me or another member of my party. However, the fee will be waived and refunded if the trip is canceled by the supplier(s).

11. Photography, Videography, Likeness, and Voice Release:

• By attending any event organized by Off Market Events, LLC (OME), I acknowledge that I may be photographed, filmed, or recorded by OME or its designated affiliates. I grant OME and its affiliates, without limitation, the right to use my likeness, image, voice, and appearance in any photos, videos, or recordings made during any OME event for promotional, marketing, or any other business purposes.
• I understand that this material may be used in a variety of media, including but not limited to websites, social media, advertisements, and printed materials. I waive any right to inspect or approve the finished product or any derivative thereof in which my likeness appears.
• I understand that I will not be compensated for the use of my likeness, image, voice, or appearance and that I am not entitled to any royalties, residuals, or other compensation.

12. Governing Law and Dispute Resolution:

  - This Agreement is governed by the laws of the State of Tennessee. Any disputes arising from or related to this Agreement must be brought solely in the courts of Tennessee located in Williamson County. I agree to pay OME’s costs and reasonable attorney fees associated with any legal action, proceeding, or collection efforts.
